 Introduction a. This Stock Trading Policy sets forth the terms and conditions governing the buying  and selling of stocks by Daniel Baldwin in conjunction with Huckleberry Research LLC. b. By engaging in stock trading activities, Daniel Baldwin agrees to comply with this  Stock Trading Policy. User Conduct a. I agree to use these services/products/website/application for lawful purposes only. b. I will not knowingly engage in any conduct that violates applicable laws or infringes  upon the rights of others. c. As Daniel will be subject to certain information that may be construed as insider  information, specific trading practices governing personal investment will be set into  place and strictly adhered to. 1. This provision will start from the time and date Daniel is introduced to a publicly  traded company, their management, or their official representation, and lasting  until 48 hrs after any public announcement or interview regarding the  aforementioned company. i. Since many of these relationships will be considered “ongoing”  after the preliminary introduction, “introduced” will also mean;  contacted by the company with the prospect of upcoming news  announcement, filing, or other catalyst. 2. Daniel will not exit (sell shares, or sell to close) any position with connection to  the subject company until the timeline from C.1. has been met. 3. Daniel will not purchase new shares or open new positions in the subject  company once contact has been initiated and until 1 hour after any public  announcements have been made.  a. If no announcement is made, because information becomes immaterial or  otherwise put on hold, a new position will not be opened for at least 72  hours post the previously projected announcement deadline.  b. Once an announcement has been made in a publicly available format, any  new positions opened will not start until at least 1 hour from the end of the  company’s announcement. i. “Announcement” can include but isn’t limited to interviews, twitter  space calls, YouTube presentations, earnings engagements, or  material catalysts. ii. Announcement may, but does not need to, come from Huckleberry  Research, Daniel, or other publicly available media channels not  affiliated with Huckleberry or Daniel. Investment Advice a. Huckleberry Research LLC, Daniel, or any affiliated persons, does not provide  investment advice. Any information provided by Huckleberry Research LLC is for general  informational purposes and entertainment only and should not be considered as a  recommendation or solicitation to buy or sell stocks. b. You acknowledge that any  investment decisions made based on such information are at your own risk. Compliance with Laws and Regulations a. Huckleberry Research LLC and by extension Daniel agrees to comply with all  applicable laws, regulations, and rules governing stock trading activities, including but  not limited to securities laws and insider trading regulations. b. If I or any alias of Huckleberry Research LLC participates in stock trading and/or to  promote or endorse any services/products on social media, I must comply with the  guidelines set forth by the Federal Trade Commission (FTC) regarding endorsements  and testimonials. Social Media Endorsements a. If Huckleberry Research or Daniel accepts any endorsement from a publicly traded  company or prospective public company or any stock trading services/products on  social media platforms, I must clearly disclose any material connection I have. b. A material connection may include receiving compensation, free products, or other  incentives in exchange for Huckleberry Research’s or Daniel’s endorsement. c. Disclosures must be clear, prominent, and easily understandable to consumers,  following the FTC guidelines on social media endorsements. d. Huckleberry Research LLC and Daniel is solely responsible for ensuring compliance  with the FTC guidelines on social media endorsements and for providing accurate and  truthful information in any endorsements. Trading Associated Company Stocks a. If you are an employee, director, or have a material relationship with an associated  company, you may be subject to additional policies and restrictions regarding buying  and selling stocks of that associated company. b. You must familiarize yourself with and adhere to the specific policies and guidelines  set forth by Huckleberry Research LLC regarding trading associated company stocks. c. Any transactions involving associated company stocks must comply with all  applicable laws and regulations, including insider trading laws. Governing Law and Jurisdiction a. This Stock Trading Policy shall be governed by and construed in accordance with the  laws of the United States, Utah, and any other applicable location by extension of  operations. b. Any disputes arising out of or in connection with this Stock Trading Policy shall be  subject to the exclusive jurisdiction of the courts of Utah
